Terms of Use

Please review the terms and conditions governing the use of Codytics Technologies' websites, services, and software delivery engagements. Last updated: September 2026.

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("Client", "User", or "You") and Codytics Technologies Pvt. Ltd. ("Codytics", "we", "us", or "our"). By accessing our website, communicating with our engineering representatives, or contracting our software design and development services, you agree that you have read, understood, and consented to be bound by all of these Terms.

2. Scope of Services & Engagements

Codytics provides full-lifecycle technology consulting, custom software development, mobile application engineering, AI/ML integration, SaaS architecture, and dedicated staff augmentation services.

  • Statements of Work (SOW): Specific engineering timelines, milestones, deliverables, and service rates will be defined in dedicated project agreements or SOWs mutually signed by both parties.
  • Agile Execution: Development sprints, reviews, and continuous deployments are scheduled and executed according to the approved project plan.
  • Change Orders: Requests for features outside the agreed project scope will be evaluated through structured sprint adjustments and change order estimates.

3. Intellectual Property & Code Ownership

We believe in transparent, client-first intellectual property protection:

Client Deliverables: Upon full and final settlement of all invoiced milestone amounts, all custom source code, design assets, database schemas, and documentation created exclusively for the Client transfer entirely to the Client.

Pre-existing Frameworks & Open Source: Codytics retains ownership of internal reusable utility libraries, frameworks, and tools. The Client is granted a perpetual, royalty-free, non-exclusive license to use any embedded background code. Open-source packages remain subject to their respective MIT, Apache, or BSD licenses.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, customer data, proprietary algorithms, trade secrets, and codebases disclosed during the engagement as strictly confidential. Codytics enforces strict confidentiality agreements with all employees, contractors, and development leads.

5. Client Responsibilities & Data Access

To ensure smooth and timely project delivery, the Client agrees to:

  • Provide required third-party API credentials, test environments, and brand assets in a timely manner.
  • Designate an authorized point of contact for sprint feedback and deliverable sign-offs.
  • Ensure all assets provided to Codytics do not infringe upon any third-party copyrights or intellectual property.

6. Payment Terms & Milestone Approvals

Unless otherwise specified in an individual SOW:

  • Milestone invoices are payable within 14 calendar days from the invoice issue date.
  • Sprint deliverables not disputed in writing within 7 business days following delivery shall be deemed accepted.
  • Work on subsequent milestones may be paused if outstanding invoices remain unpaid beyond the grace period.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Codytics Technologies, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption arising out of or related to the software deliverables. Codytics's total aggregate liability shall not exceed the total fees paid by the Client under the applicable SOW during the preceding 3-month period.

8. Governing Law & Dispute Resolution

These Terms and any contractual disputes arising hereunder shall be governed by and construed in accordance with the laws of the Republic of India. Any legal action or proceeding shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
